1.1 The “Buyer” refers to the account applicant or person who purchases or agrees to purchase goods from the Seller.
1.2 The “Seller” refers to Coldene Castors Ltd, Unit 6, Anglo Business Park, Smeaton Close, Aylesbury, Buckinghamshire, HP19 8UP.
1.3 “Terms and Conditions” refers to the terms and conditions of sale set out in this document and any special terms agreed in writing by the Seller.
2.1 These Terms and Conditions govern the supply of goods sold by the Seller to the Buyer and constitute the entire agreement between both parties. Our acceptance of your order by delivery of the goods forms a legally binding contract under these terms.
2.2 These Terms supersede all previous versions and apply to all transactions unless otherwise agreed in writing.
3.1 The price payable for goods will be as stated at the time of order or as listed in the current catalogue, plus applicable carriage charges.
3.2 Payment in full (including any carriage or insurance charges) must be received before order acceptance unless otherwise agreed in writing.
3.3 For account customers, payment is due in full by the end of the month following the invoice date. Time is of the essence. If payment is late, we may revoke credit terms and charge interest at 3% above the RBS base rate, plus any reasonable legal or recovery costs.
3.4 All prices quoted are subject to VAT at the prevailing rate (currently 20%) at the time of despatch.
3.5 Written or verbal quotations are valid for 30 days.
3.6 Payment transactions will not be completed until immediately prior to despatch.
4.1 Unless otherwise requested, goods will be delivered in accordance with the order. A valid signature is required upon delivery or collection.
4.2 Title to the goods remains with Coldene Castors Ltd until full payment is received.
4.3 If you have not received your goods within 21 days of the expected delivery or requested despatch date, you must notify us immediately.
5.1 While we aim to maintain sufficient stock, if we are unable to supply the ordered goods, we may supply a substitute product or issue a refund within 30 days (or apply a credit for account customers).
6.1 Goods may be returned within 30 days, subject to a 50% handling and restocking charge, provided the goods and packaging are in a resellable condition.
6.2 Any shortages or damage must be reported in writing within 3 days of delivery.
6.3 Refunds will be issued using the original payment method once we confirm compliance with 6.1 and/or 6.2.
7.1 If notified of a problem, we will (at our discretion) make good any shortage, replace or repair defective goods, or issue a refund.
7.2 We are not liable for any loss of profits, indirect, or consequential loss or damage.
7.3 For bespoke products, we exercise reasonable care during development; however, performance cannot be guaranteed under all conditions. The buyer is responsible for thorough testing and assumes risk regarding application suitability. Our liability is limited to the extent permitted by law.
7.4 These conditions do not affect your statutory rights or our liability for fraudulent misrepresentation, death, or personal injury resulting from negligence.
8.1 The Seller reserves the right to suspend delivery, stop goods in transit, or terminate the contract if the Buyer is in breach or becomes insolvent.
8.2 Upon termination, all outstanding payments become immediately due. The Seller is under no further obligation to supply goods.
9.1 The Seller shall not be liable for failure to fulfill obligations due to events beyond its control, including but not limited to Acts of God, war, strikes, lockouts, floods, or third-party supply failures.
10.1 If any part of these conditions is deemed invalid, the remaining terms remain unaffected.
10.2 Where interpretation allows, the inclusion or exclusion of terms shall be adjusted to maintain validity.
10.3 This contract is governed by and interpreted in accordance with English law.
11.1 By purchasing from Coldene Castors Ltd, the Buyer acknowledges awareness of relevant Health and Safety requirements related to product use.
11.2 The Buyer accepts full liability for product use and agrees to report any misuse or abuse of the Seller’s products or services.
